Terms of Service — Transportation Optimizer

    By using the Transportation Optimizer or SmartMove platform at toc.dnw-ai.com, you agree to these Terms of Service. Please read them carefully before using the service.
  

1. About the Service

The Transportation Optimizer ("TOC") and SmartMove are AI-powered logistics platforms operated by DNEXTWELT UG (haftungsbeschränkt), Regenbogen-11, 68305 Mannheim, Germany.

Transportation Optimizer: AI-driven shipment consolidation, load planning, and route optimisation
SmartMove: AI-assisted packers and movers platform including photo-based inventory surveys, CBM-based quoting, and partner marketplace

2. User Accounts

To access the full platform, you must create an account. You are responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Notifying us immediately of any unauthorised use at info@dnw-ai.com

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You may use the platform only for lawful business purposes. You must not:

Enter false, misleading, or fraudulent cargo data or shipment information
Upload images that contain unlawful, offensive, or infringing content
Attempt to reverse-engineer, hack, or disrupt the platform
Use automated scripts or bots against the API without prior written consent
Resell or sublicense access to the platform without our written approval
Interfere with other users' access to the service

4. AI Processing — Important Disclaimer

Our platform uses AI models (Google Gemini and Anthropic Claude) to analyse cargo, process photos, generate quotes, and provide planning recommendations.

      AI-generated results are advisory only. They are not guaranteed to be accurate, complete, or suitable for any specific purpose. You must verify all load plans, quotes, and route recommendations before acting on them.
    

Photo scans (SmartMove AI Survey): Photos submitted for item recognition are processed by Google Gemini Vision and are not permanently stored by us. Item data extracted from photos is saved to your account.
AI chat: Conversation history is stored per session. We may retain anonymised interaction logs for service improvement.
CBM estimates and quotes: Provided as guidance only. Actual weights, volumes, and costs may differ.

5. Cargo Data Accuracy

You are solely responsible for the accuracy of cargo descriptions, weights, dimensions, and hazardous material declarations you enter into the platform. DNEXTWELT UG accepts no liability for errors in load plans or routes arising from inaccurate data you provide.

6. Partner Marketplace (SmartMove)

The SmartMove partner marketplace lists third-party removal and logistics companies. DNEXTWELT UG does not endorse, guarantee, or take responsibility for the services, pricing, or conduct of listed partners. Any contract for removal services is between you and the partner directly.

7. SMS Notifications

If you opt in to SMS notifications (e.g. booking confirmations, shipment status updates), you consent to receiving text messages from us at the number you provide. Standard message and data rates may apply. You can opt out at any time by contacting us or replying STOP.

8. Payments and Credits

Certain features may require purchase of credits or a subscription. All payments are processed securely. Prices are stated in the platform and are subject to change with reasonable notice. Credits are non-refundable once consumed.

9. Intellectual Property

The platform, including its AI engines, UI, algorithms, and branding, is the exclusive property of DNEXTWELT UG. You retain ownership of the cargo and shipment data you upload. By uploading data, you grant us a limited licence to process it solely for the purpose of providing the service.

10. Data and Privacy

Your use of this service is also governed by our Privacy Policy, which forms part of these Terms.

11. Service Availability

We aim to provide continuous availability but do not guarantee uninterrupted access. We reserve the right to perform maintenance or updates with or without notice. We are not liable for losses arising from service downtime.

12. Limitation of Liability

To the maximum extent permitted by law, DNEXTWELT UG's total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 3 months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profit or data.

Nothing excludes liability for death, personal injury caused by our negligence, or fraud.

13. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mannheim, Germany.

14. Changes to These Terms

We may update these Terms at any time. Significant changes will be communicated via the platform or by email. Continued use after changes constitutes acceptance.
